Vertifile provides a document verification and protection platform that creates tamper-proof .pvf files using cryptographic signatures and blockchain timestamping. Our service includes:
Vertifile uses BLIND processing: we never read, access, or store the content of your documents. Only cryptographic hashes are processed.
By accessing or using Vertifile's services, you agree to be bound by these Terms of Service. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
If you do not agree to these terms, you must not use our services.

We reserve the right to throttle or suspend API access if usage exceeds agreed limits or if we detect abusive patterns. Rate limit headers are included in all API responses.
All rights, title, and interest in the Vertifile service, including its software, design, trademarks, and documentation, remain the exclusive property of Vertifile.
You retain all rights to your documents. Vertifile does not claim any ownership over documents you protect or verify using our service. Since we never access document content, no license to your content is required or implied.
The .pvf file format, verification stamps, and related technologies are proprietary to Vertifile.
Vertifile targets 99.9% uptime for all production services. Scheduled maintenance windows will be communicated at least 48 hours in advance. Service credits may be issued for downtime exceeding 0.1% in any calendar month, subject to Enterprise plan terms.
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, government actions, power failures, internet disruptions, or third-party service outages (including blockchain network congestion or cloud provider failures).
In the event of a security breach affecting user data, Vertifile will: (a) notify affected users within 72 hours of confirmed breach discovery, (b) notify relevant supervisory authorities as required by applicable law, (c) provide a detailed incident report within 30 days, and (d) implement remediation measures. Vertifile maintains an incident response plan and conducts regular security assessments.
In the event Vertifile ceases operations: (a) all .pvf files remain functional as self-contained HTML documents, (b) blockchain-anchored verification records on Polygon remain permanently accessible, (c) users will receive 90 days advance notice, (d) all document hashes and verification data will be exported and made available to users, and (e) the .pvf format specification will be published as open documentation.
Any dispute arising from these Terms shall first be submitted to good-faith mediation for a period of 30 days. If mediation fails, disputes shall be resolved by binding arbitration under the rules of the Israeli Institute of Commercial Arbitration, or alternatively through the courts of Tel Aviv-Jaffa, Israel. Israeli law shall govern these Terms.
Enterprise customers may request a Data Processing Agreement (DPA) that defines Vertifile's obligations as a data processor under GDPR, including: (a) scope and purpose of processing, (b) data subject rights procedures, (c) sub-processor notifications, (d) cross-border transfer mechanisms (Standard Contractual Clauses), and (e) audit rights. Contact privacy@vertifile.com to request a DPA.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VERTIFILE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Our total liability for any claim arising from or related to the service shall not exceed the amount you paid to Vertifile in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Vertifile, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to registered users via email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the modified terms.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any disputes arising from or related to these terms or the service shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv-Jaffa, Israel.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
